HotBell Commercial Limited Warranty

This Commercial Limited Warranty applies exclusively to eligible business-to-business purchases made directly from HotBell LLC (“HotBell,” “we,” “our,” or “us”).
HotBell LLC is a business-to-business wholesale distributor. HotBell sells only to approved business purchasers and does not sell directly to consumers or end-users.
This is a commercial warranty. It is not a consumer warranty and does not create a direct warranty, return, refund, support, or service relationship between HotBell and any downstream consumer or end-user.
1. WARRANTOR

2. COVERED PRODUCTS AND ELIGIBLE BUSINESS PURCHASERS
Unless a product-specific written warranty, quotation, invoice, order acknowledgment, or signed commercial agreement states otherwise, this Commercial Limited Warranty applies only to a product that:
- Is a new HotBell-branded product;
- Is expressly identified on the applicable product page, quotation, invoice, warranty document, or other written commercial document as covered by a HotBell commercial warranty;
- Is purchased directly from HotBell by the original verified reseller or approved business purchaser;
- Is purchased primarily for resale, installation, integration, deployment, repair inventory, institutional use, government use, or another legitimate commercial purpose;
- Is accompanied by reasonable proof of purchase from HotBell; and
- Has been used in accordance with its published specifications, instructions, and applicable commercial terms.
A product meeting these requirements is referred to as a “Covered Product.”
This Commercial Limited Warranty is limited to the original verified reseller or approved business purchaser. It is non-transferable and does not extend directly to:
- Consumers;
- End-users;
- Secondary purchasers;
- Customers of a reseller;
- Unauthorized purchasers; or
- Products purchased from an unauthorized sales channel.
Open-box, used, refurbished, clearance, liquidated, sample, demonstration, special-order, or “as-is” products are covered only when the applicable product page, quotation, invoice, or other written commercial document expressly provides warranty coverage.
3. THIRD-PARTY BRANDED PRODUCTS
A third-party branded product is subject to the applicable manufacturer’s warranty, if any.
HotBell does not provide a separate commercial warranty for a third-party branded product unless the applicable product page, quotation, invoice, warranty document, or signed commercial agreement expressly states that HotBell LLC provides such a warranty.
HotBell may provide reasonable assistance with manufacturer-warranty information as a business convenience, but such assistance does not make HotBell the manufacturer or warrantor of the third-party branded product.
4. WARRANTY PERIOD
Unless a product-specific written warranty, quotation, invoice, or signed commercial agreement states a different period, the warranty period for a Covered Product is two years beginning on the date the Covered Product is delivered to the original verified reseller or approved business purchaser.
A repaired or replacement product or part remains covered only for the remainder of the original warranty period unless HotBell expressly agrees otherwise in writing.
Repair, replacement, account credit, or refund does not begin a new warranty period.
5. WHAT THIS COMMERCIAL LIMITED WARRANTY COVERS
HotBell warrants that a Covered Product will be free from defects in materials and workmanship under normal commercial use during the applicable warranty period.
Coverage is limited to:
- The hardware of the Covered Product;
- Components originally supplied with the Covered Product; and
- Defects that existed during the applicable warranty period and are not excluded under this warranty.
This Commercial Limited Warranty does not promise:
- Uninterrupted or error-free operation;
- Compatibility with every device, system, component, accessory, software environment, network, voltage, operating system, or use case;
- Continued availability of software, firmware, drivers, online services, or third-party services;
- A particular resale value, profit, sales volume, customer acceptance, or commercial result; or
- Performance outside the product’s published specifications.
Buyer is responsible for reviewing product specifications, compatibility requirements, power requirements, dimensions, operating-system requirements, installation requirements, and application suitability before purchasing, reselling, installing, integrating, or deploying a product.
6. AVAILABLE WARRANTY REMEDIES
For a valid covered claim, HotBell may, at its option:
- Repair the Covered Product;
- Replace the Covered Product with a new or professionally refurbished product of the same model;
- Replace the Covered Product with a product having substantially equivalent function and value;
- Issue an account credit for all or part of the amount paid for the Covered Product;
- Refund all or part of the amount paid for the Covered Product; or
- Provide another remedy expressly agreed to in writing.
To the maximum extent permitted by applicable law, the remedies stated in this section are the Buyer’s exclusive remedies under this Commercial Limited Warranty.
Replacement products or parts may differ in color, appearance, packaging, revision, firmware, components, or accessories when the original version is unavailable, provided that the replacement has substantially equivalent function and value.
If HotBell provides a replacement, account credit, or refund, HotBell may require return of the affected product or part. A returned product or part becomes HotBell property when HotBell provides the applicable replacement, credit, or refund.
Approval of an RMA does not guarantee warranty coverage or a particular remedy. Final eligibility and remedy are determined after inspection and review.
7. HOW TO REQUEST WARRANTY SERVICE
Before returning any product, Buyer must contact:

Buyer should provide:
- Legal business name;
- Contact name and business contact information;
- HotBell account information, if applicable;
- Order number;
- Invoice number;
- Product name and model;
- Serial number, if applicable;
- Quantity affected;
- Date the issue was discovered;
- A detailed description of the issue;
- Relevant installation, operating, and troubleshooting information;
- Requested resolution; and
- Photographs, video, logs, diagnostic information, or other reasonable evidence when requested by HotBell.
HotBell may require reasonable troubleshooting, testing, validation, photographs, video, system information, configuration details, or other documentation before issuing an RMA.
Buyer must not perform unsafe testing or continue operating a product when doing so may create a safety risk or cause additional damage.
A warranty claim must be submitted during the applicable warranty period and within a reasonable time after discovery of the claimed defect.
8. RMA AUTHORIZATION REQUIRED
No product may be returned for warranty evaluation without prior written Return Merchandise Authorization (“RMA”) from HotBell.
An RMA authorizes return of the identified product for inspection only. It does not constitute final approval of a repair, replacement, account credit, refund, or warranty claim.
The RMA number must be displayed as instructed on the return documentation or package.
A product returned without authorization may be:
- Refused;
- Delayed;
- Returned to Buyer at Buyer’s expense;
- Held pending identification or instructions; or
- Denied warranty evaluation when HotBell cannot reasonably identify the product, transaction, or claim.
HotBell will not dispose of Buyer’s property without reasonable prior written notice and an opportunity for Buyer to provide return or disposition instructions, except where immediate action is reasonably required for safety, legal, or regulatory reasons.
9. RETURN SHIPPING, PACKAGING, AND TRANSIT RISK
Unless HotBell agrees otherwise in writing or the applicable product-specific warranty provides otherwise, Buyer is responsible for:
- Return freight;
- Shipping insurance;
- Proper packaging;
- Handling charges;
- Customs charges;
- Duties;
- Tariffs;
- Brokerage charges; and
- Other transportation expenses associated with returning the product.
Freight-collect and COD returns will not be accepted unless HotBell agrees otherwise in writing.
Buyer bears the risk of loss or damage during return shipment until the product is received at the return location designated by HotBell.
Buyer must use commercially reasonable packaging suitable for the product. Damage caused by inadequate packaging, prohibited contents, or failure to follow reasonable return instructions is not covered to the extent that the packaging or noncompliance caused the damage.
If HotBell provides a prepaid shipping label, the instructions accompanying that label control the applicable shipment.
Responsibility for shipping a repaired or replacement product back to Buyer will be determined by the applicable product-specific warranty, quotation, invoice, RMA authorization, or other written commercial term.
10. INSPECTION AND NONCOVERED CLAIMS
HotBell may inspect and test a returned product to determine:
- Product identity;
- Serial-number validity;
- Warranty eligibility;
- Reported condition;
- Cause of failure;
- Extent of damage;
- Whether an exclusion applies; and
- The appropriate remedy.
If inspection determines that the claim is not covered, HotBell will provide a written explanation or claim determination.
HotBell will not perform a paid repair or impose an unapproved diagnostic, repair, storage, disposal, or return-shipping charge without disclosing the charge and obtaining Buyer’s approval when approval is required.
If Buyer does not respond to reasonable written requests concerning a noncovered product, HotBell may handle the product as permitted by the B2B Returns, Refunds & RMA Policy, applicable written transaction terms, and applicable law.
11. WARRANTY EXCLUSIONS
This Commercial Limited Warranty does not cover a failure, loss, or damage to the extent caused by:
- Misuse, abuse, neglect, accident, theft, vandalism, liquid, fire, contamination, or external impact;
- Installation, integration, maintenance, storage, handling, or packaging that does not comply with published requirements;
- Improper voltage, current, power supply, grounding, ventilation, cooling, cabling, adapter, connector, or electrical environment;
- Operation outside published specifications;
- Use with an incompatible product, component, accessory, cable, adapter, software, firmware, network, service, or operating environment;
- Improper modification, overclocking, disassembly, repair, rework, alteration, or service;
- Improper software or firmware modification;
- Malware, unauthorized software, corrupted data, or a third-party online service;
- Normal wear;
- Consumable parts;
- Cosmetic damage that does not materially affect product function;
- Missing parts or accessories after delivery;
- Damage occurring after risk of loss transfers to Buyer;
- Damage during an unauthorized return;
- Damage caused by inadequate return packaging;
- Failure to install an applicable safety, firmware, or software update when the failure to update caused the claimed issue;
- Continued use after Buyer knew or reasonably should have known that continued operation could cause additional damage;
- A third-party product or service;
- An event outside HotBell’s reasonable control; or
- Another exclusion stated in the applicable product-specific written warranty or commercial agreement.
A missing, unreadable, removed, or altered serial number may justify denial only when it prevents reasonable verification of the Covered Product, transaction, or claim and no other reliable proof is available.
Independent repair, a third-party part, or service by a non-HotBell provider does not by itself void this warranty. HotBell may deny coverage to the extent the claimed failure or damage was caused by that repair, part, modification, or service.
12. DATA, SOFTWARE, AND CONFIDENTIAL INFORMATION
Buyer is responsible for backing up and securely removing personal, confidential, proprietary, regulated, or business-critical information before sending a product for service when reasonably possible.
Repair, testing, replacement, or diagnostic work may require resetting, reformatting, updating, or erasing storage.
HotBell is not responsible for restoring:
- Data;
- Software;
- Accounts;
- Passwords;
- Licenses;
- Configurations;
- Encryption keys;
- Security credentials; or
- Business records,
except to the extent applicable law does not permit this responsibility to be excluded.
This Commercial Limited Warranty does not cover standalone software, data, online services, subscriptions, or third-party applications.
A covered hardware defect is not automatically excluded merely because software or firmware is present. Coverage may be denied to the extent an excluded software or firmware condition caused the claimed failure.
13. NO DIRECT CONSUMER OR END-USER WARRANTY
This Commercial Limited Warranty is provided only to the original verified reseller or approved business purchaser.
HotBell does not provide direct warranty service, returns, refunds, RMA service, repairs, replacements, troubleshooting, setup assistance, or technical support to consumers or end-users who purchased through a reseller, retailer, installer, integrator, distributor, marketplace, or other third party.
End-users must contact the business from whom the product was purchased.
Buyer is solely responsible for its own:
- Customer-facing warranty disclosures;
- Return and refund policy;
- Product listings and advertising claims;
- Installation and support obligations;
- Consumer notices;
- Product-safety communications; and
- Other downstream legal obligations.
Buyer may not represent that HotBell provides a transferable consumer warranty or direct end-user service unless HotBell expressly authorizes that representation in writing.
14. DISCLAIMER OF OTHER WARRANTIES
EXCEPT FOR AN EXPRESS COMMERCIAL WARRANTY SPECIFICALLY PROVIDED BY HOTBELL IN WRITING, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL PRODUCTS, SERVICES, SUPPORT, SOFTWARE, COMMUNICATIONS, WEBSITE CONTENT, AND INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
HOTBELL DISCLAIMS ALL OTHER EXPRESS OR IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
NO ORAL STATEMENT, GENERAL WEBSITE CONTENT, AUTOMATED RESPONSE, AI-GENERATED RESPONSE, PRODUCT COMPARISON, TECHNICAL GUIDANCE, OR OTHER COMMUNICATION CREATES OR MODIFIES A WARRANTY UNLESS IT IS EXPRESSLY IDENTIFIED AS A WARRANTY AND APPROVED IN WRITING BY AN AUTHORIZED HOTBELL REPRESENTATIVE.
THIS DISCLAIMER DOES NOT CANCEL OR LIMIT AN EXPRESS WRITTEN COMMERCIAL WARRANTY THAT APPLIES TO A COVERED PRODUCT.
15. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOTBELL WILL NOT BE LIABLE UNDER OR RELATING TO THIS COMMERCIAL LIMITED WARRANTY FOR:
- LOST PROFITS;
- LOST REVENUE;
- BUSINESS INTERRUPTION;
- DOWNTIME;
- LOSS, CORRUPTION, OR DISCLOSURE OF DATA;
- LOSS OF GOODWILL OR REPUTATION;
- LOSS OF BUSINESS OPPORTUNITY;
- SUBSTITUTE-PRODUCT COSTS;
- CUSTOMER OR END-USER CLAIMS;
- INDIRECT DAMAGES;
- INCIDENTAL DAMAGES;
- CONSEQUENTIAL DAMAGES;
- SPECIAL DAMAGES;
- EXEMPLARY DAMAGES; OR
- PUNITIVE DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOTBELL’S TOTAL LIABILITY ARISING FROM OR RELATING TO A COVERED PRODUCT OR WARRANTY CLAIM WILL NOT EXCEED THE NET AMOUNT ACTUALLY PAID TO HOTBELL FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF HOTBELL WAS ADVISED OF THE POSSIBILITY OF THE DAMAGES.
Nothing in this warranty excludes or limits liability that applicable law does not permit HotBell to exclude or limit.
16. SAFETY NOTICES AND RECALLS
This Commercial Limited Warranty does not limit an applicable product-safety recall or mandatory corrective action.
Buyer must promptly follow applicable safety, recall, stop-use, repair, return, replacement, or disposal instructions issued by HotBell, the manufacturer, or a government authority.
Buyer is responsible for maintaining commercially reasonable records sufficient to identify affected products and downstream recipients when required for a product-safety notice, recall, warranty matter, or regulatory purpose.
17. RELATIONSHIP TO OTHER COMMERCIAL TERMS
This Commercial Limited Warranty must be read together with:
- HotBell’s B2B Terms and Conditions of Sale and Website Use;
- HotBell’s B2B Returns, Refunds & RMA Policy;
- HotBell’s B2B Shipping Policy;
- The applicable product page;
- The accepted quotation;
- The invoice;
- The order acknowledgment;
- Any product-specific written warranty; and
- Any signed commercial agreement.
If these documents conflict, the following order of priority applies unless applicable law requires otherwise:
1. A written agreement signed by an authorized HotBell representative;
2. A product-specific written warranty;
3. An accepted quotation or order acknowledgment;
4. The applicable invoice;
5. This Commercial Limited Warranty;
6. HotBell’s B2B Terms and Conditions of Sale and Website Use;
7. HotBell’s B2B Returns, Refunds & RMA Policy; and
8. HotBell’s B2B Shipping Policy.
Buyer purchase-order terms do not modify this warranty unless HotBell expressly accepts the modification in writing.
18. GOVERNING LAW AND DISPUTE RESOLUTION
This Commercial Limited Warranty is governed by the laws of the State of Idaho, without regard to conflict-of-law principles.
Disputes arising from or relating to this warranty are subject to the governing-law, arbitration, venue, limitation, and dispute-resolution provisions stated in HotBell’s current B2B Terms and Conditions of Sale and Website Use and any controlling signed commercial agreement.
19. CHANGES TO THIS WARRANTY
The version of this Commercial Limited Warranty in effect when HotBell accepts the applicable order governs that transaction unless a later written agreement expressly provides otherwise.
HotBell may update this warranty prospectively by posting a revised version with a new “Last updated” date.
An update will not retroactively reduce warranty coverage for an order already accepted by HotBell unless Buyer agrees in writing or applicable law requires the change.
20. SEVERABILITY AND NONWAIVABLE LAW
If any provision of this warranty is found invalid, illegal, or unenforceable, the remaining provisions remain effective to the fullest extent permitted by applicable law.
Nothing in this warranty excludes, restricts, or modifies a right, remedy, obligation, or liability that applicable law does not permit the parties to exclude, restrict, or modify.
